This Referral Partner Program Terms and Conditions (the "Agreement") is a binding agreement between Formsuite ("we," "us," or "our") and you, the participant in our Referral Program ("Referral Partner"). This Agreement governs your participation in the Formsuite Referral Partner Program (the "Program").
By participating in the Program, you agree to these terms. If you do not agree, you may not participate in the Program.
Formsuite provides software for building forms, surveys, and quizzes. As a Referral Partner, you may refer prospective customers to Formsuite. This Agreement sets out the terms under which you do so as part of the Program.
By participating in the Program, you may refer new prospective customers ("New Customers") to Formsuite on a non-exclusive basis. We will pay you a Referral Fee for each Successful Referral.
A "Successful Referral" occurs when: (a) a New Customer signs up for Formsuite directly using your dedicated referral link provided by us, and (b) the New Customer converts to a paid Formsuite plan within 90 days of using your link. Attribution is done on a last-click basis, your link must be the last link clicked before the customer signs up.
A referral is not a Successful Referral if: (i) we have already contracted with or contacted the customer about our services, or (ii) the customer was referred by another third party.
For each Successful Referral, we will pay you a Referral Fee based on your tier level at the time the commission becomes eligible for payout. Referral Fees are calculated on the net subscription revenue actually received by us from that customer during the first twelve (12) months of their paid subscription. "Net subscription revenue" means amounts actually collected after deduction of discounts, promotions, credits, chargebacks, refunds, or other reductions.
The commission tiers are as follows:
Your tier is determined by the total number of Successful Referrals attributed to you. Once you reach the Partner tier threshold of 25 conversions, the higher commission rate applies to all eligible commissions going forward.
We may exclude from Referral Fee eligibility any transactions that use excessive or unauthorized discounts or that otherwise result in materially reduced revenue to us.
Referral Fees apply only to the first twelve (12) months of subscription fees from each Successful Referral. We reserve the right to adjust, modify, or discontinue the Program, commission percentages, tier thresholds, or payout terms. We will provide notice of material changes through the Formsuite dashboard and/or via email.
Payments are managed through Stripe Connect. You must maintain an active Stripe account with accurate and up-to-date payment information. Formsuite is not responsible for delays or failures arising from inaccurate or incomplete information in your Stripe account.
Each commission is subject to a thirty (30) day holding period. Commissions become eligible for payout only after the full holding period has elapsed. The holding period helps safeguard against refunds, chargebacks, cancellations, and fraudulent activity. We may delay or withhold payment for any commission associated with a refund, reversal, disputed charge, or suspected fraud.
Payouts are made to the payout method you configure in Stripe. You are responsible for setting up and maintaining an active payout method. If a payout fails due to inaccurate payment information, we have no obligation to reissue until you correct your account.
You must notify us of any payout dispute within thirty (30) days after the disputed payout date. After this window, payouts are deemed accurate and final.
You are an independent contractor. Nothing in this Agreement creates an employment, agency, partnership, or joint venture relationship. You have no authority to bind Formsuite and may not make agreements or representations on our behalf.
You may promote the Program by sharing your referral link with your audience. When creating content about Formsuite, you must disclose that you are a referral partner and receive compensation for referred customers, in compliance with applicable laws including the FTC Endorsement Guides. We may withhold Referral Fees and terminate your participation if you fail to comply with disclosure requirements.
You may not: (a) use redirects or other methods to manipulate or hide the source of clicks; (b) engage in cookie stuffing or use misleading links; (c) create websites that mirror or copy the look and feel of Formsuite; (d) bid on Formsuite-related keywords in paid search without our written permission; or (e) engage in fraudulent, abusive, or harmful behavior.
Self-referrals are not permitted. You may not receive Referral Fees for referring yourself, your own business, any entity under common ownership or control, or any entity in which you or your immediate family have a direct or indirect financial interest. We reserve the right to determine whether any referral is invalid due to related-party involvement.
This Agreement may be terminated at any time by either party upon notice. If we terminate due to your breach, we may withhold unpaid Referral Fees. Upon termination, we will pay Referral Fees only for Successful Referrals that occurred before the effective date of termination.
To the maximum extent permitted by law, Formsuite shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to the Program. Our total liability shall not exceed the greater of $200 or the total Referral Fees paid to you in the twelve (12) months prior to the claim.
The Program is provided "as is" without warranties of any kind. We may amend this Agreement from time to time and will notify you of material changes. Your continued participation constitutes acceptance of the updated terms. This Agreement, together with our Terms of Service, constitutes the entire agreement between you and Formsuite regarding the Program.
